gnuGrid CRB Limited was licensed by Bank of Uganda in November 2021 as the first-ever indigenous Credit Reference Bureau (CRB) in Uganda. We collect credit data on individuals and non-individual borrowers, validate data into meaningful profiles that are disseminated in form of credit reports and credit scores to enable credit providers make informed lending decisions.
Job Summary: The Legal Officer assists in overseeing the legal and compliance function, provision of legal services, credit bureau dispute resolution, ensures organizational compliance to data protection laws and regulations, company secretarial services and operational execution of the corporate governance framework of GnuGrid CRB Limited.
Key Duties and Responsibilities:
- Attend to board and shareholder meeting procedures, and reporting.
- Lead negotiations on GnuGrid’s complex high value contracts and agreements.
- Effective litigation management, cost management and liaising with and managing external lawyers.
- Monitor changes in the Credit Information Sharing (CIS) legal and regulatory environment and take appropriate action.
- Ensure compliance with board charter, monitor corporate governance in line with King IV framework and Environment Social and Governance (ESG) Standards.
- Maintain a compliance trucker to ensure timely and accurate submission of statutory returns.
- Provide effective and highly quality legal advice to other business functions.
- Liaise with various functions to draft and review policies and procedures and ensure that they are in compliance with the legal and regulatory framework.
- Identify potential areas of legal and compliance vulnerability, investigate and report violations or potential violations and develop corrective action.
- Provide leadership, supervision, and effective induction of new staff and training of existing staff to improve understanding of legal and compliance matters.
- Coordinating activities related to audits, internal compliance reviews, compliance risk register and regulatory examinations.
- Prepare and implement the departmental work plan and budget including departmental staff performance evaluations.
- Execute any other legal and compliance task as may be assigned by the board.
- Act as a Data Protection Officer (DPO), liaise with NITA-U to ensure that GnuGrid CRB Limited fully complies with the Data Protection and Privacy Act, 2019 and the implementing regulations.
- Coordinate the implementation of the Bureau wide data privacy protection strategies
- Coordinate the development and implementation of policies, standards and regulations or guidelines related to information security management,
- Work with IT department, Internal Audit, to understand security and regulatory compliance requirements and to map these requirements into current projects.
- Spearhead the implementation of IS 27000 family of standards and coordinate the initiatives that will prepare GnuGrid CRB for ISO 27000 certification.
- Articulating to all staff in at GnuGrid CRB how information security management relates to the institution’s objectives and act as a focal point for cyber security incident response planning and execution.
- Providing oversight to the implementation of ongoing information security risk assessment program which will define, identify and classify critical data assets. Assess threats and vulnerabilities regarding those assets and recommend appropriate recommendations.
Qualifications, Skills and Experience:
- The applicant must be an enrolled advocate with at least two years’ experience in legal practice preferably in a corporate legal capacity within a fast paced and dynamic banking or fintech environment.
- A degree in Bachelor of Laws. A Postgraduate Diploma in Legal Practice or information technology will be an added advantage.
- Additional qualifications in Information security management, risk management or data protection will be considered an added advantage.
- Result oriented and service driven individual with exceptionally good communication, negotiation, problem solving skills.
