WORK OPPORTUNITIES IN WHEAT (WOW) PROJECT
Terms of Reference for Agreement Support Services Consultant
Introduction
Ntake Bakery and Company, in partnership with Private Sector Foundation Uganda and the Mastercard Foundation- Young Africa Works, is implementing the Work Opportunities in Wheat (WOW) Project under the – Enhancing Lead firm structure for youth employment in Uganda.
The projects targets to create 4,956 decent and fulfiling work opportunities for youth aged 18-35 years along the wheat value chain in districts; Kapchorwa, Kween Bukwo, Rubanda, Kabale, Kisoro, Rukungiri Kanungu and Bundibugyo
Specific Objectives of the assignment
The assignment is geared towards providing high quality legal advice to LF and teams within the structure on a full range of legal and challenging operational issues, in accordance with the following principles: instill and foster a culture of legal compliance, advocate for Ethics & Compliance across all levels within the structure, build relationships with external legal advisors.
The major function of the Agreement Support Services to establish agreement and enforcement of resulting contractual obligations within and among the chain actors who include the Lead Firm, Micro and Small Enterprises, Community Based Organizations, and Households. More details can be availed to intending bidders.
Scope of Work (SoW)
On top of the established standard professional output project partners expect the following at each of levels for the project.
Legal risk
- Review and provide legal advice on MOUs, Contracts, and tender documents.
- Review any possible cases and advice management accordingly.
- Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
- Provide legal protection and risk management advice to actors especially on contract management.
- Provide and interpret legal information, conduct training and disseminate appropriate legal requirements to staff.
Policy development
- Review and advise management on legal implications of internal policies and procedures.
- Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements in the country.
Litigation management
- Review progress of outstanding litigation and liaise with and manage external lawyers.
- Identify local needs and develop efficient resource smart solutions including developing network of outside counsel and pro-bono relationships
Regulatory compliance
- Formulate legal compliance check-lists to be used for the purpose of ensuring that all information required is provided accordingly.
- Continuously monitor compliance with statutory obligations and advise management accordingly.
Consultant/service provider Qualification
The lead consultant should demonstrate the following qualifications:
- Law degree, Master’s degree is a plus advantage.
- 2 – 4 years of experience in law firm or national organizations (private sector or NGO).
- Demonstrates knowledge of, and experience with laws dealing with commercial/contract administration and labor laws
Required Skills and Competencies
- In-depth knowledge of regulatory law
- Excellent communication, negotiation and diplomatic skills.
- Excellent command of English.
- Real interest in environment and agriculture
Duration of assignment
The assignment will be for 36 months and start from September, 2022.
Selection Criteria
Submitted proposals will be evaluated based on the following weighted criteria
- Technical proposal – 40%
- Financial proposal – 40%
- Previous experience – 20%
